Banking and Financial Services

We represent and advise local, stateside and foreign financial institutions on a variety of matters, including regulatory and transactional matters.

We assist them in structuring and documenting transactions involving financial products and services, as well as in obtaining the necessary business approvals and licenses. In addition, we advise them on the applicable reporting requirements.

Commercial Lending and Corporate Finance

Our attorneys have extensive experience in structuring and documenting commercial loan transactions (including, but not limited to, asset-based and real-estate based loans, syndicated and participated loans, SBA-guaranteed loans, and floor plan and equipment financings), representing both lenders and borrowers.

We also represent local, stateside and foreign lenders and borrowers in negotiating complex loan workouts and restructurings. In addition, we have advised issuers and underwriters in private debt and equity offerings, including those involving common stock, preferred stock, corporate bonds, structured notes and securitizations.

Securities and Public Finance

We have served as counsel to issuers and underwriters in offerings of municipal securities by the Commonwealth of Puerto Rico and its public instrumentalities. In addition, we have assisted in the organization of unregistered and Puerto Rico investment companies, as well as in providing such companies with the necessary legal advice in line with the applicable laws and regulations.

Real Estate

We have successfully represented clients in a myriad of real estate transactions, from routine purchase and sale transactions to extremely complicated and intellectually challenging transactions.

Our attorneys have the necessary legal expertise and in-depth knowledge to cater to all real estate transactional and business needs of our clients, demonstrating a consistent mastery in all aspects of real estate law (including, but not limited to, purchase and sale transactions, mortgage transactions, residential and commercial leases, and title issues).

Mergers and Acquisitions

We have become the “go to” firm for mergers and acquisitions, including acting as lead counsel for noteworthy local transactions and as Puerto Rico counsel for complex and sophisticated international transactions.

Business Operations in Puerto Rico

We regularly assist out-of-state businesses in structuring and implementing their Puerto Rico operations. We also assist start-ups with the formation of corporate business entities and all related registration, licensing and regulatory matters, as well as all associated labor and employment matters.

This practice includes expertise in Puerto Rico’s Economic Incentives Law and the negotiation of decrees and tax grants with the Puerto Rico Industrial Development Company.
