Puerto Rico has some of the most restrictive and protectionist laws governing distribution relationships and sales representatives, commonly known as Law 75 and Law 21 respectively. Other more general provisions of our Civil Code extend protections to concessionaires and franchisees. All of these operate to limit a principal’s rights to terminate or modify the rights of its Puerto Rico distributors, representatives or franchisees, or impose notice and substantial indemnity obligations.
